Model Documents: Standard Language When You Need It
Use the Model Documents databases on Westlaw to find industry-accepted language you can use when drafting documents for a wide range of transactions. These databases contain documents that were attached as exhibits in actual Securities and Exchange Commission filings.

To see a list of all 13 databases, click Directory at the top of any page. Type model documents in the Search the Westlaw Directory text box at the top of the right frame and click Search.
You can use model documents as checklists to ensure you have identified all relevant issues. You can also use the documents to see how others have negotiated, disclosed, and documented similar deals. With the help of a user-friendly search template, you can restrict your search by title, clause, or other criteria and quickly locate standard language in a wide range of documents, including prepackaged bankruptcies, intellectual property assignments and licensing agreements, tender offers and other M&A documents, noncompetition and confidentiality agreements, and customary fee agreements.
Search example
To find examples of confidentiality clauses in intellectual property assignment and licensing agreements governed by New York law, complete these steps:
- Access the MODELDOC-IP database. A search template is displayed.
- Type confidential! in the Clause Title text box, type "new york" in the Governing Law text box, and select the Assignment and Licensing check boxes.
- Click Search Westlaw. Click the number next to the document you want in the result list.
To jump to a particular section of the document you are viewing, click a link at the top of the document. You can also click the Term arrows at the bottom of the page to view the next or previous occurrence of your search terms.
