Legal Due Diligence Reports: Due Diligence Made Easy
Use Legal Due Diligence Reports to obtain a comprehensive picture of a particular company.
Due Diligence Reports database (GSI-DDR) contains reports on all publicly traded U.S. companies; the Private Company Legal Due Diligence Reports database (GSI-DDR-PRIV) contains reports on the top U.S. private companies based on total sales; and the Legal Due Diligence Reports: Public and Private Companies database (GSI-DDR-ALL) includes reports for both publicly traded and private companies. The reports are professionally formatted, complete with charts and tables, and they contain the most current information available.
A typical report contains information such as
- a company profilee.g., business description and corporate structure
- the names of executive officers and directors
- reported financialse.g., income statement, balance sheet
- publicly traded stocke.g., P/E ratio, market capitalization, pricing history
- Securities and Exchange Commission (SEC) filings
- commercial transactionse.g., details of mergers and acquisitions, registrations, and prospectuses
- a litigation profiledocket records and decisions for lawsuits in which the company is a named party
- risk factorse.g., notice of delisting, unresolved issues with the SEC, potential company litigation
Running a Search
In addition to accessing a database, you can also use the Legal Due Diligence Reports section in the left frame of the Westlaw GC page to run a search. Select All, Public, or Private; type a company name in the Search By Company Name text box; and click Go. If you are searching for a public company, you can also search by ticker symbol. (To access a database, choose a database from the Select a database drop-down list or click a link below the Search By Ticker Symbol text box in the Legal Due Diligence Reports section.)
For example, if you are conducting due diligence research on General Mills, select Public, then type general /2 mills in the text box and click Go. Click the number next to the document you want, then click Generate in the right frame. A dialog box is displayed, informing you that you will incur a charge to view the report. Click OK to generate the report and to view it in PDF.
