On-Point Resources for the In-House Counsel
Westlaw has many useful corporate governance materials designed to help you in your national or international business operations.
Start with the tabbed Corporate Governance page
The Corporate Governance page includes a Corporate Governance and a Corporate Compliance section with excellent analytical resources. Hold your pointer over a database name, e.g., Corporate Counsel Guidelines, and then click the Show button to display available options. Click the database identifier from the list of options, e.g., corpcg for Corporate Counsel Guidelines. The Search page is displayed. Click Table of Contents to display the table of contents for the treatise. Browse the table of contents by clicking the plus (+) and minus (-) symbols.
You will find other useful features at the Corporate Governance page, including current news sources and bill and regulation tracking databases.
To add the Corporate Governance page for your current Westlaw session, click Add a Tab at the top of any page. At the next page, click Add Westlaw Tabs, then click Corporate Governance under Topical. The Corporate Governance page is displayed.

Business Transactions Solution
The Business Transactions Solution database (BTS) has an extensive section on corporate governance issues and compliance programs. You can access BTS at the Westlaw GC page by clicking Business Forms, Analysis, and Checklists under Business Transactions Solution. The table of contents is displayed. Click the plus and minus symbols to browse the table of contents. You can also select the check box next to a heading in the table of contents and click Expand Selection(s) at the bottom of the page to view all the sections under that heading.
Fletcher Cyclopedia of the Law of Corporations
The Fletcher Cyclopedia of the Law of Corporations database (FLTR-CYC) addresses all aspects of complex corporations law. Too access the database, click Fletcher's Cyclopedia of Corporations under Handbooks and Treatises at the Westlaw GC page; the table of contents is displayed.
Corporate Counsel's Guide to Business Ethics Policies
The Corporate Counsel's Guide to Business Ethics Policies database (CCGBETHP) discusses corporate codes of legal and ethical conduct. Topics covered include legal rules for codes of conduct, drafting codes of conduct, the effect of codes of conduct and other policy statements on criminal and civil liability, Sarbanes-Oxley Act codes of ethics, international business ethics, establishing an effective compliance program, and "no gifts" letters. The treatise also includes an extensive collection of sample policies.
